Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SnoutData website at snoutdata.com (the "Site"), the SnoutData desktop application (the "App"), our managed hosting service SnoutData Cloud (the "Cloud"), and the related authentication, dashboard, command line, billing, and AI features we provide (collectively, the "Service"). The Service is provided by Joel Oliver, operating as SnoutData ("SnoutData", "we", "us", or "our"). By creating an account, purchasing a plan, creating a hosted project, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service, and the two halves of it

SnoutData has two halves, and these Terms treat them differently because they work differently.

The App is a desktop application for working with databases and data, with built in AI assistance. It runs on your computer and connects to the databases you point it at. Its credentials are encrypted with your operating system keychain and stay on your device, and your query results come back to your machine. Except for the AI features described in section 8, we neither receive nor hold the credentials or the contents of the databases you connect the App to.

SnoutData Cloud is a managed hosting service. When you create a hosted project, we run a database for you, and any related services you enable, on infrastructure we operate, and we store and back up its contents. A hosted project is held by us, in the ordinary way of a managed hosting provider. Section 9 and section 10 set out what that means. Nothing in the App half of these Terms should be read as a claim that we cannot reach data you ask us to host.

The Site and the dashboard let you sign in, view your current plan, buy, change, or cancel a paid plan, and manage your hosted projects; the snoutdata command line tool is another client for the same account. We offer four plans: Free, Plus, Pro, and Business. The features and limits included in each plan are described on the Site and may change over time as the product evolves.

We may modify, suspend, or discontinue any part of the Service at any time. We will try to give reasonable notice of material changes that adversely affect paid plans.

2. Accounts and sign in

You sign in using a third party identity provider (Google or GitHub). You are responsible for maintaining the security of the account you use to sign in and for all activity that occurs under your SnoutData account. The same account is shared between the Site and the App. You must provide accurate information and must be at least the age of majority in your jurisdiction, and in any case at least 16 years old, to use the Service.

3. Plans, billing, and renewal

The Free plan is provided at no charge. Paid plans (Plus, Pro, and Business) are sold as recurring monthly subscriptions. Current prices are shown on the Site (at the time of writing, Plus is 5 US dollars per month, Pro is 15 US dollars per month, and Business is 20 US dollars per seat per month with a minimum of five seats), exclusive of any taxes that may apply.

Your plan also sets your SnoutData Cloud limits, such as how many hosted projects you can run, how much storage and compute each one gets, how long backups are kept, and whether an idle project is paused. Some hosted features are available only on paid plans. The current limits are shown on the Site and in your dashboard.

Payments are processed by Stripe. By purchasing a paid plan you authorize us, through Stripe, to charge your selected payment method on a recurring basis. Your subscription automatically renews each month and your payment method is charged at the start of each billing period until you cancel. You authorize these recurring charges without requiring our further approval for each charge.

We may change plan prices or the features included in a plan. Some AI features run on local models, while others rely on third party AI model providers whose token and usage prices change over time. We specifically reserve the right to adjust plan prices, AI quotas, or both, to reflect changes in those underlying third party provider costs and in our own costs of operating the Service. If we change the price of a plan you are subscribed to, we will give you advance notice, and the new price will apply to your next billing period after the notice. Your continued use of the paid plan after a price change takes effect constitutes acceptance of the new price. If you do not agree to a new price, you may cancel before it takes effect.

4. Cancellation

You can cancel a paid plan at any time through the Stripe customer portal, reachable from your account dashboard. When you cancel, your paid plan remains active until the end of the billing period you have already paid for, and it will not renew after that. At the end of that period your account reverts to the Free plan.

5. Refunds

Payments are generally non refundable, including for partial billing periods. Our refund practices are described in our Refund Policy at snoutdata.com/refunds, which forms part of these Terms.

6. Account deletion

You may permanently delete your account from your account dashboard. Deletion is irreversible. It removes your login identity, your plan record, and your synced application settings, it deletes any SnoutData Cloud projects on the account, including their databases, files, and backups, as described in section 9, and it cancels any active subscription immediately. Deleting your account does not entitle you to a refund of any amounts already paid. Certain records held by our payment processor (for example, historical invoices and payment records) are retained as described in our Privacy Policy and Refund Policy, because we are required to keep them for accounting, tax, and legal purposes.

7. Acceptable use

You agree not to:

• use the Service in violation of any applicable law or regulation;
• attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• abuse, overload, or attempt to circumvent the usage limits or quotas of the AI features, including by automated means; or
• use the Service to build a competing product by copying its hosted infrastructure or content;
• use a hosted project to store or distribute content that is unlawful, or that you do not have the right to store or distribute;
• use hosted compute for cryptocurrency mining, or for any workload whose purpose is to consume resources rather than to run your own application;
• send unsolicited bulk email, malware, or phishing from a hosted project; or
• attempt to reach another customer's project, to escape the isolation of your own, or to probe our infrastructure beyond the boundary of your project. Good faith security research reported under the disclosure policy at snoutdata.com/security is welcome and is not a breach of this section.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms.

8. AI features

The Service includes AI generated assistance. AI output can be inaccurate, incomplete, or misleading, and may not be suitable for your particular use. You are responsible for reviewing and validating any AI output before relying on it, especially for queries that modify data. AI features are subject to usage quotas that vary by plan, and may be rate limited or temporarily unavailable.

9. SnoutData Cloud: hosted projects

When you create a hosted project, we run a database for you, together with any related services you enable (such as authentication, a data API, file storage, realtime, and functions you deploy), on infrastructure we operate, and we keep a continuously updated copy of its contents in object storage we operate. Your hosted content is therefore held by us. Our security page at snoutdata.com/security describes how it is protected and what is not built yet, and our Privacy Policy describes what we do with it.

Project credentials. We generate your project's database password and store it, encrypted, so that you and any client you are signed in to can retrieve the connection details without copying a secret around. You can reveal and rotate that password, and issue and revoke access tokens, from your dashboard. You are responsible for who you give a connection string, a token, or a key to, and for revoking it when they should no longer have access.

Limits, pausing, and fair use. Hosted projects are subject to the limits of your plan. On the Free plan, a project that goes unused is paused and wakes on the next connection, so the first connection after a pause is slower than the ones that follow. We may pause or limit a project that exceeds its plan limits, and we may apply reasonable fair use limits on compute, storage, and network to protect the Service for everyone.

Availability. We aim to keep hosted projects available, but no plan currently includes a guaranteed uptime level or service credits. We may take a project offline briefly for maintenance, for moving it between machines, or for urgent security work, and we will try to keep that short and, where practical, announced.

Suspension. We may suspend or throttle a hosted project if payment fails, if it breaches section 7, or if its behaviour threatens the security, integrity, or availability of the Service or another customer. We will give notice where it is practical to do so, and may act first where a delay would cause harm.

Ending a plan. If a paid plan ends and your hosted usage no longer fits the plan you fall back to, we will give you a reasonable opportunity to export your data or reduce your usage before we restrict, pause, or remove a project.

Deleting a project. You can delete a hosted project at any time, and deletion is irreversible: it removes the running database, its files, and its backups. Because the storage we use keeps versions and carries a short retention lock, residual copies may persist for a few days before they are erased.

An early product. SnoutData Cloud is early, and its features, limits, and prices may change as it develops. We will give reasonable notice of a change that adversely affects a paid plan.

10. Your content, your users, and your code on SnoutData Cloud

You keep your content. You retain all rights to the data, files, and code in your hosted project. You grant us only the licence we need to run the project for you: to store, copy, transmit, back up, and restore that content, and to make it available to you and to anyone you authorize. We do not use your hosted content for any other purpose, and we do not use it to train AI models.

Keep your own copy. We keep backups as described for your plan and can restore from them, but backup and restore are provided on a reasonable efforts basis and are not a guarantee against data loss. You can export a full copy of your database at any time, and you should keep your own copy of anything you cannot afford to lose. See section 12.

Your own users. If you use a hosted project to serve your own application's users, for example by enabling its authentication service or storing files they upload, the personal data of those users is yours, not ours. You are responsible for having a lawful basis to collect it, for your own privacy notice and terms, and for answering your users' requests. We process that data on your behalf in order to operate the project for you, as described in our Privacy Policy.

Code you deploy. Functions and other code you deploy run at your risk, within resource limits we may set and change. You are responsible for what your code does, including what it connects to and what it sends, and for any third party terms it depends on.

11. Intellectual property and your data

As between you and us, you retain all rights to the database content and queries you work with in the App. We do not claim ownership of your data. The SnoutData name, logo, Site, and Service are owned by us or our licensors and are protected by intellectual property laws. The App may be provided under a separate software license; nothing in these Terms grants you rights in our trademarks.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the Service will be uninterrupted, error free, or secure, or that any AI output will be accurate.

For SnoutData Cloud in particular, we do not warrant that a hosted project will be available without interruption, that a paused project will wake within any particular time, or that hosted data will never be lost or corrupted. Keep your own export of anything you cannot afford to lose.

13. Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or 50 US dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If a change is material, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws rules. The courts located in the Province of Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer protection rights you may have in your country of residence.
